This is a plain-English summary of a general template, written to be fair and clear rather than to win an argument — it is not a substitute for advice from a qualified solicitor. If a dispute ever gets serious, or before you scale this business up significantly, it's worth having a professional review these terms for your specific situation.
1. Who we are
Qp Digital is a trading name of Jonah Quartey, a sole trader based in England. In these terms, "we", "us" and "our" mean Qp Digital; "you" and "client" mean the person or business enquiring about, paying for, or receiving a service from us.

2. Agreeing to these terms
By submitting an enquiry, accepting a quote, or making a payment through a Qp Digital payment link, you agree to these terms for that engagement. If anything here conflicts with something we agreed with you in writing (e.g. by email), the specific written agreement takes priority for that point.
3. Services
We offer websites, CRM setup, SEO, booking systems, branding, reporting dashboards, automation, and other digital projects agreed between us. The exact scope of what's included is agreed individually with you — normally by email — before any payment is requested, and that agreed scope is what governs the engagement.
4. Quotes and pricing
Pricing is bespoke and negotiable. A quote is only valid for the scope it was given for — if what you need changes, the price may need to change with it, and we'll tell you before doing any additional work. All prices are in GBP (£) unless we've agreed otherwise in writing.
5. Payment
Payments are processed by Stripe, a third-party payment provider — by paying, you're also subject to Stripe's own terms. Unless we've agreed otherwise in writing, payment is required upfront, before a service is delivered or activated. Your account only activates once Stripe confirms your payment has actually gone through.
6. Delivery and turnaround
For a website, "activation" is automatic and instant the moment payment clears — your site goes live with no manual step on our part. For services without an equivalent single switch (SEO, CRM setup, branding, and similar), your account still flips to active immediately on payment, but actually carrying out and delivering the work follows within a reasonable time after that. We aim to turn things around quickly, but "lightning fast" is our aim, not a guaranteed deadline — if a firm deadline matters to you, agree one with us in writing before paying.
7. Your responsibilities
You're responsible for giving us accurate information, and for getting back to us with content, feedback, or access/credentials we reasonably need in good time. If a delay is caused by us waiting on something from you, that's not on us — and it may push back any turnaround estimate we've given.
8. Ownership of what we build
Until you've paid in full for a piece of work, it remains our property. Once you've paid in full, ownership of that specific deliverable (your website, logo, etc.) transfers to you — except for any underlying tools, code libraries, or frameworks we used to build it (which we or their original owners keep), and except any third-party-licensed assets (stock photos, fonts, etc.), which stay subject to their own licenses. Unless you ask us in writing not to, we may show completed work in our own portfolio.
9. Refunds and cancellations
Because this is bespoke digital work, once we've started work — or once a service has been activated — fees are generally non-refundable. If you cancel before any work has started, we'll refund what you paid at our discretion, less any payment-processing fees already deducted by Stripe. Where a refund is agreed, it's returned to your original payment method through Stripe and your access to that service is switched off at the same time — it typically takes 5–10 business days to appear, depending on your bank. Specific refund terms can always be agreed with you in writing for a particular engagement, and that agreement takes priority over this default.
10. No guaranteed outcomes
For SEO, marketing, or anything depending on outside factors (search engine algorithms, market conditions, your own business decisions), we can't and don't guarantee specific results — rankings, traffic, sales, or similar. We'll do the work with reasonable care and skill; the outcome still depends on things outside our control.
11. Liability
We provide our services with reasonable care and skill. To the fullest extent the law allows, our total liability to you for any claim arising from a service is limited to the amount you actually paid us for that specific service, and we're not liable for indirect or consequential loss (like loss of profits or business opportunity). Nothing in these terms limits or excludes liability where it would be unlawful to do so — including for death or personal injury caused by negligence, or for fraud.
12. Third-party services
Delivering our services relies on third parties — Stripe for payments, Netlify for hosting, and Resend for transactional email. We're not responsible for outages, errors, or issues that originate in those providers' own systems, though we'll do what we reasonably can to help if something goes wrong on their end.
13. Ending an ongoing engagement
For an ongoing service (like a monthly SEO package), either of us can end it with reasonable written notice. Fees already paid for work already done aren't refunded on cancellation; any outstanding fees for work already completed remain payable.
14. Changes to these terms
We may update these terms from time to time — the "Last updated" date at the top will change when we do. If you have an active, ongoing engagement with us, we'll let you know about any change that materially affects it.
15. Complaints
If something's gone wrong, please raise it with us directly first at contact@qp-digital.co.uk — most things can be sorted out by just talking it through, and we'd genuinely rather fix a problem than end up in a dispute over it.
16. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
